Vayu Ink Terms of Service

These Terms of Service (“Terms”) govern the use of the Vayu Ink website and the services provided by Vayu Ink (“Vayu Ink”, “we”, “us”, or “our”) to authors, customers, and other persons who request or purchase our services (“you” or “your”).

By submitting a service form, making payment, or signing or accepting a quotation or service agreement issued by Vayu Ink, you acknowledge that you have read, understood, and agreed to these Terms.

1. Scope of Services

Vayu Ink provides the following services:

1. Book publishing services.

2. Typesetting and interior formatting.

3. Book cover design.

4. Printing services.

5. Distribution services.

The exact services, deliverables, pricing, specifications, and scope applicable to a particular project shall be determined by the quotation or service agreement accepted by the customer.

Vayu Ink may provide these services individually or as part of a publishing package or customized service arrangement.

2. Eligibility and Customer Responsibility

These Terms apply to both authors and customers purchasing or requesting services from Vayu Ink.

You are responsible for providing accurate and complete information, documents, manuscript files, specifications, contact information, and other materials required for the requested service.

You must have the legal right and authority to submit all materials provided to Vayu Ink for the purpose of receiving the requested services.

3. Ownership and Copyright of Manuscript

The author or lawful rights holder retains ownership and copyright in their original manuscript, book content, literary work, and other intellectual property supplied to Vayu Ink.

Vayu Ink does not acquire ownership of an author's manuscript merely because the manuscript is submitted for publishing or related services.

The submission of a manuscript to Vayu Ink grants Vayu Ink the necessary permission to use, reproduce, format, design, print, publish, distribute, and otherwise process the manuscript only to the extent reasonably necessary to provide the services requested and agreed upon.

Nothing in these Terms transfers ownership or copyright in the author's original work to Vayu Ink.

4. Originality and Publishing Rights

The author or customer is responsible for ensuring that the manuscript submitted to Vayu Ink is an original work or that the author or customer has obtained all necessary rights and permissions required for its publication.

Vayu Ink may refuse to publish or process a manuscript if there is a reasonable concern that the manuscript is not the original work of the person requesting the publishing service or that the necessary publishing rights have not been established.

Where a manuscript is not the original work of the person requesting publication, Vayu Ink may require appropriate documentary evidence establishing permission or authorization to publish the manuscript.

Vayu Ink may suspend or refuse the publishing service until the customer provides satisfactory documentation showing that the necessary permission or publishing rights have been obtained.

5. Prohibited or Unlawful Content

The customer or author shall not knowingly submit material that infringes another person's copyright, trademark, privacy rights, intellectual-property rights, or other legal rights.

The customer or author is responsible for ensuring that the submitted manuscript and other materials comply with applicable law.

Vayu Ink reserves the right to refuse or suspend services where the submitted material creates a legal, copyright, ownership, or publishing-rights concern.

6. Quotation and Service Agreement

The quotation or service agreement issued by Vayu Ink may specify the services included, pricing, deliverables, specifications, project requirements, and other applicable terms.

Where a quotation or service agreement contains project-specific terms, those terms shall apply to that particular service or project together with these Terms.

Acceptance of a quotation or service agreement constitutes confirmation that the customer agrees to the applicable service scope and pricing.

7. Payment Terms

Payment must be made in advance unless otherwise specifically agreed in writing by Vayu Ink.

Vayu Ink will begin the agreed services only after the required payment has been received.

The customer is responsible for making payment according to the amount and payment terms stated in the applicable quotation or service agreement.

8. Refund and Cancellation Policy

Payments made to Vayu Ink are generally non-refundable except in the specific circumstances described in these Terms or where Vayu Ink expressly agrees otherwise.

If the customer cancels the service after payment has been made, the customer may receive a refund of 60% of the total payment, subject to the applicable cancellation circumstances and the stage of the project.

Any portion of the service that has already been completed may affect the processing and applicability of a refund where specifically agreed in the applicable quotation or service agreement.

Where Vayu Ink refuses or is unable to proceed with a publishing service because the customer cannot establish the necessary rights or permission to publish a manuscript, any applicable refund shall be handled according to the refund terms agreed for the relevant service.

9. Service Commencement

Services commence after the required payment has been received and the necessary materials and information have been provided by the customer.

The customer must provide the manuscript, text, images, author information, approvals, permissions, and other materials required for the selected service.

10. Manuscript, Content, and Materials

The customer is responsible for the accuracy and legality of the materials supplied to Vayu Ink.

This includes, where applicable:

• Manuscript content.

• Author name and author information.

• Book title and subtitle.

• Images, illustrations, photographs, and graphics supplied by the customer.

• Copyright and permission documents.

• Bibliographical and publication information.

• Other information required for publication, printing, formatting, or distribution.

Vayu Ink may use the supplied materials only for purposes connected with providing the agreed services.

11. Typesetting and Interior Formatting

Typesetting and interior formatting shall be performed according to the specifications and service scope agreed with the customer.

The final appearance may depend upon the manuscript, formatting requirements, selected specifications, and customer approvals.

The customer is responsible for reviewing and approving the final interior formatting or proof before the relevant stage of production proceeds.

12. Cover Design

Where cover design is included in the selected service, Vayu Ink shall create the cover according to the agreed service scope.

The customer shall provide any required information, preferences, images, references, or other materials necessary for the cover design.

The final approved cover shall be used for the applicable publishing, printing, or distribution service.

13. Printing

Where printing is included, Vayu Ink shall arrange or provide printing according to the specifications agreed in the applicable quotation or service agreement.

Printing outcomes may depend on the selected specifications, printing process, paper, binding, colour requirements, and other production factors.

The customer is responsible for approving the final files or proofs where approval is required before printing.

14. Distribution

Where distribution is included in the selected service, Vayu Ink shall provide or arrange distribution according to the scope and terms specified in the applicable quotation or service agreement.

Distribution availability, timelines, channels, and other operational matters may vary according to the applicable distribution arrangement.

Distribution does not constitute a guarantee of sales, readership, reviews, rankings, or commercial success.

15. Approvals and Final Files

Where Vayu Ink requires customer approval before proceeding to a subsequent stage, the customer is responsible for reviewing the material and providing approval or corrections.

Once a customer approves a final version, Vayu Ink may proceed with the applicable production, printing, publishing, or distribution process.

The customer is responsible for identifying errors or requested changes during the applicable review and approval stage.

16. Project Timelines and Delays

Vayu Ink will work according to the project timeline applicable to the selected service.

Project timelines may vary depending on the nature and scope of the service.

Where applicable, publishing, printing, formatting, design, or distribution may take longer than the expected timeline due to production, technical, operational, or other circumstances.

Vayu Ink does not guarantee that every project will be completed within a particular period unless a specific timeline has been expressly agreed in writing.

17. Intellectual Property of Vayu Ink

Vayu Ink retains ownership of its own intellectual property, including its:

• Brand name and branding materials.

• Website content.

• Logos and visual identity.

• Templates.

• Proprietary designs.

• Processes and workflows.

• Service materials.

• Other materials owned or developed by Vayu Ink.

The customer shall not reproduce, resell, distribute, modify, or commercially exploit Vayu Ink's proprietary materials without appropriate authorization.

This provision does not transfer ownership of the author's manuscript or original book content to Vayu Ink.

18. Service Refusal, Suspension, or Termination

Vayu Ink reserves the right to refuse, suspend, or terminate a service where:

1. The submitted manuscript is not an original work of the person requesting publication and the required permission or authorization cannot be established.

2. The customer fails to provide required rights or permission documents.

3. The customer violates these Terms.

4. The submitted materials create a copyright, ownership, legal, or publishing-rights concern.

5. The customer provides materially false or misleading information.

Where services are suspended or terminated, any applicable refund shall be determined according to the applicable refund provisions and the circumstances of the case.

19. Customer Indemnification

The customer or author shall be responsible for claims arising from materials submitted by them where such claims concern copyright ownership, unauthorized publication, infringement, or other rights relating to the submitted content.

The customer shall provide appropriate documentation or cooperation where required to establish their legal right to use or publish submitted material.

20. Limitation of Liability

To the maximum extent permitted by applicable law, Vayu Ink's liability arising from or relating to a particular service shall be limited to the amount actually paid by the customer to Vayu Ink for the affected service.

Vayu Ink shall not be responsible for losses arising from circumstances outside the agreed scope of service, including matters resulting from materials, information, permissions, or instructions supplied by the customer.

21. Website Use

These Terms also apply to your use of the Vayu Ink website.

You agree not to use the website for unlawful purposes or in a manner that violates these Terms or applicable law.

Information provided through the website is intended to describe Vayu Ink's services and does not replace the specific terms contained in an applicable quotation or service agreement.

22. Privacy

Vayu Ink's collection and use of personal information shall be governed by its Privacy Policy.

By using the website or requesting Vayu Ink's services, you acknowledge that personal information may be processed in accordance with the applicable Privacy Policy.

23. Author Guidelines and Royalty Policy

Where applicable, authors and customers shall also be subject to the Vayu Ink Author Guidelines and Royalty Policy.

The Author Guidelines govern applicable author-service procedures and requirements.

The Royalty Policy governs applicable royalty and payout arrangements for authors.

Where a specific quotation or service agreement contains project-specific terms, those terms shall apply to the relevant project.

24. No Guarantee of Commercial Success

Vayu Ink provides publishing and related services but does not guarantee that a published book will achieve any particular level of sales, readership, revenue, reviews, ranking, recognition, or commercial success.

25. Changes to These Terms

Vayu Ink may modify, update, or revise these Terms from time to time.

The updated Terms may be published on the Vayu Ink website and may apply to future use of the website and future services.

Where a change materially affects an existing service arrangement, the applicable quotation or service agreement may continue to govern that particular project unless otherwise agreed.

26. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of India.

Any dispute arising out of or relating to these Terms or the services provided by Vayu Ink shall be subject to the applicable jurisdiction of the courts in Lakhimpur, Uttar Pradesh, India.

27. Dispute Resolution

In the event of a dispute, the parties shall first attempt to resolve the matter through mutual discussion and good-faith communication.

If the dispute cannot be resolved through mutual discussion, either party may pursue the remedies available under applicable Indian law.

28. Acceptance of Terms

You are deemed to have accepted these Terms when you:

1. Submit a service form to Vayu Ink;

2. Make payment for a Vayu Ink service; or

3. Sign or otherwise accept a quotation or service agreement issued by Vayu Ink.

By completing any of these actions, you confirm that you have read and accepted these Terms.

29. Severability

If any provision of these Terms is determined to be invalid or unenforceable under applicable law, the remaining provisions shall continue to remain in effect to the extent permitted by law.

30. Entire Agreement

These Terms, together with the applicable quotation, service agreement, Author Guidelines, Royalty Policy, Privacy Policy, and other specifically applicable written terms, constitute the applicable agreement governing the relevant Vayu Ink service.

Where there is a conflict between these Terms and a specific written quotation or service agreement, the specific project terms shall govern the relevant project to the extent of the conflict.
